Terms and Conditions

1. Service Packages

The specific scope of work for each project will be defined in a separate Project Proposal or Quotation provided to the Client.

Upfront Payment: To ensure dedicated resource allocation and project scheduling, 100% of the total project fee is required as a non-refundable payment before any work commences.
Commencement: Work will strictly begin only upon the successful clearance of the total project funds in our designated accounts.
Add-ons & Scope Changes: Any additional features or services requested after the initial project commencement must be paid for in full (100% upfront) before such changes are implemented.
No Refunds: As resources are committed immediately upon payment, all payments made to Synchub Digital are non-refundable.

Content Provision: The Client is responsible for providing all necessary text, images, and data within the agreed timeframe. Delays in providing content will result in a corresponding shift in the project deadline.
Approvals: The Client must provide timely feedback and approvals. If no feedback is received within 10 business days of a milestone delivery, the work will be deemed approved.

Ownership: Upon project completion and final delivery of assets, full ownership of the final visual design and website code is transferred to the Client.
Portfolio Rights: Synchub Digital retains the right to display the completed project in our portfolio, case studies, and marketing materials unless a non-disclosure agreement (NDA) is specifically requested and signed.
Third-Party Assets: Any stock images, fonts, or third-party plugins used may be subject to their own licenses, which the Client is responsible for maintaining.

Each package includes a set number of revision rounds (as defined in the Proposal).
Requests for features or pages outside the original scope will be billed separately and require 100% upfront payment as per Section 2.

Performance: While we use industry-best practices for SEO, Synchub Digital does not guarantee specific search engine rankings or traffic increases, as these are subject to external algorithms and competition.
Outsourcing: Synchub Digital reserves the right to engage third-party specialists or partners for the execution of specific services (such as SEO) to ensure high-quality delivery.

Either party may terminate the agreement with 14 days’ written notice.
In the event of termination by the Client, Synchub Digital shall retain the 100% upfront payment as compensation for resources allocated and work performed up to the date of termination.

Synchub Digital shall not be liable for any indirect, incidental, or consequential damages, including loss of profits or data, arising from the use of our services or any technical issues with third-party hosting providers.

Both parties agree to keep all business information, trade secrets, and project details confidential and will not disclose them to third parties without prior written consent.

These Terms shall be governed by and construed in accordance with the laws of Malaysia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Malaysia.
